Agribusiness

As agribusiness is an extremely complex industry, it requires multidisciplinary and specialized legal counsel. Thus, TozziniFreire’s Agribusiness group gathers highly skilled lawyers in corporate, finance transactions, projects, international trade, real estate, and tax to provide clients with the multidisciplinary service they demand. Furthermore, our long-standing relationships with key agribusiness players have helped us develop an intimate understanding of the specificities of this field.

TozziniFreire assists several biofuel producers and agrochemical companies, in buying and selling agricultural commodities used in biofuel production, financing, and M&A transactions, as well as representing them in commercial and administrative disputes. We are one of the leading firms in agribusiness financing, particularly, securitizations such as Agribusiness Receivables Certificates (CRAs), which is now the main source of financing for agribusiness activities.

Our team’s expertise and reputation in this practice also explain our participation in the drafting and negotiation of the New Agribusiness Law with the Ministry of Economy, Ministry of Agriculture, Ministry of Internal Affairs, Central Bank of Brazil, and agribusiness associations.

We are also deeply involved in the advancement of the agribusiness industry concerning carbon neutrality, by joining the Latin American Climate Change Lawyers Initiative for Mobilizing Action, the working group that has analyzed the European, Californian, and Colombian markets, aiming to provide recommendations for the establishment of a regulated Carbon Market in Brazil. Moreover, TozziniFreire contributed to the drafting and replacement proposal for Bill No. 528/2021, which sets forth the creation of a Brazilian Regulated Carbon Market, as a member of the Brazilian Business Council for Sustainable Development (CEBDS).

TozziniFreire is recognized by Chambers Brazil for Agribusiness, in which partner Vladimir Miranda Abreu is ranked as Band 1 for Timberland Investment. Partner Alexei Bonamin is recommended for the same area by IFLR1000, an international publication specializing in Finance Law. In 2009, TozziniFreire won the Latin Lawyer Deals of the Year for M&A – merger Votorantim-Aracruz.
